Terms of Service

Welcome to Closeout Command. These Terms of Service apply to the Closeout Command construction closeout management tools and the related tools in The Site Rep Works family, including BuildSITREP and HaulProof Reports (together, the "Services"). Please read them carefully.
1. Acceptance of Terms
Use of the website or app means the user agrees to these Terms of Service.
2. Product Description
Closeout Command provides tools for organizing, reviewing, tracking, and packaging construction project closeout requirements, including trade partner document collection and final deliverable packaging.
3. Accounts and Access
Users are responsible for keeping login credentials secure. Company accounts may include multiple user roles and permissions, including internal GC users and external trade partner users with scoped upload access.
4. Company Accounts and Authorized Users
Company account owners are responsible for managing users, approved email domains, billing access, permissions, and trade partner invitations.
5. Subscriptions and Payment
Paid plans are billed monthly or annually depending on the selected plan. Pricing and plan features may change with notice.
6. Cancellation
Users with billing permission may cancel renewal from Billing & Subscription settings. Cancellation remains active through the current billing term. The subscription does not renew after cancellation.
7. Read-Only Grace Period
After the paid term ends, the account enters a 30-day read-only grace period. During this time, users may view, print, and download existing closeout packages and export existing project records. Users may not create, edit, upload, revise, or regenerate project data or closeout packages unless the subscription is reactivated.
8. Cool-Down Period
After cancellation, a 60-day cool-down period may prevent creation of a new duplicate account or company workspace using the same email address, billing email, company domain, or approved company domains. Reactivation of the original account is allowed. Platform admin may approve exceptions.
9. User Content and Uploaded Files
Users retain ownership of project data, specifications, drawings, closeout submittals, photos, uploaded files, and other content they upload. The app may process and store that content to provide the service.
10. Trade Partner Uploads
Trade partners invited to a project workspace are responsible for the accuracy, completeness, and appropriateness of the files they upload. General contractors are responsible for reviewing and accepting trade partner submissions before including them in an owner-facing closeout deliverable.
11. Responsibility for Closeout Package Accuracy
Users are responsible for reviewing all closeout requirements, submittals, exception logs, warranty information, O&M content, and exported packages before delivering them to owners, agencies, clients, or third parties.
12. No Legal, Compliance, or Design Advice
The app helps organize and package closeout documentation but does not provide legal, code, design, engineering, environmental, regulatory, or compliance advice.
13. AI-Assisted Requirement Review
Closeout Command may use AI to help extract candidate closeout requirements from uploaded drawings and specifications. AI output is a starting point only. The user is responsible for confirming which requirements apply, which do not, and what final scope goes to each trade partner.
14. Procore and Third-Party Services
Any Procore or third-party software connection is subject to the third-party service's own terms and availability. The app is not responsible for third-party service outages, data errors, or permission issues.
15. Acceptable Use
Users may not misuse the app, upload unlawful content, attempt unauthorized access, interfere with the service, scrape data, reverse engineer the software, or use the service for fraudulent activity.
16. Service Availability
The service may experience downtime, maintenance, errors, or interruptions. No guarantee is made that the service will be uninterrupted or error-free.
17. Limitation of Liability
To the maximum extent allowed by law, liability is limited for indirect, incidental, consequential, special, punitive, or lost-profit damages.
18. Termination or Suspension
Accounts may be suspended or terminated for nonpayment, misuse, security concerns, or violation of the terms.
19. Changes to Terms
Terms may be updated. Continued use after changes means the user accepts the updated terms.
